Seattle Business & Corporate Lawyers

An enterprise buyer wants broader rights to your software. A research partner is negotiating access to lab results. A purchaser needs to know whether key customer agreements will survive an acquisition. Omni Law P.C. helps Seattle businesses evaluate these commitments and put the negotiated terms into documents that reflect how the business operates.

Our business and corporate lawyers advise on company ownership, commercial agreements, financing, intellectual property, employment documents and business sales. Seattle matters are handled remotely; Omni Law does not maintain a Seattle office. This city practice is part of our Washington business law services. For a proposed transaction or an agreement already on your desk, call (844) 354-1234.

Business Decisions in the Seattle Market

Seattle’s research and working-waterfront businesses offer distinct examples of why industry context matters. Fred Hutch’s South Lake Union research facilities and the North Pacific fleet based at Fishermen’s Terminal connect the city to very different commercial relationships. A research license may turn on publication rights and future improvements; a processing agreement may turn on seasonal capacity and delivery obligations. Software and aerospace supply arrangements bring their own questions about technical specifications, data and reusable intellectual property.

Tax planning also needs more than a “no income tax” assumption. Washington’s B&O tax generally addresses business gross income, while Seattle administers a separate city B&O regime with its own threshold, deductions and filing rules. Washington has also enacted a 9.9% individual income tax beginning January 1, 2028, with a $1 million standard deduction shared by spouses or registered domestic partners. We coordinate transaction terms with tax advisers so that ownership, payment timing and operational plans are considered together.

Legal Services for Seattle Businesses

Company Formation and Ownership Terms

A filing creates an entity; it does not settle how its owners will work together. We document capital contributions, voting authority, equity vesting and procedures for an owner’s departure. For a newly formed consulting or technology business, the initial work may also include customer-contract authority and rights to assets contributed by a founder. State registration and applicable local licensing are addressed as separate steps within the engagement.

Software, Cloud and AI Agreements

Enterprise procurement can introduce terms that outlast the first subscription period. We review software licenses, SaaS agreements, cloud-channel arrangements, data-processing terms and AI-related provisions. The work includes identifying permitted data uses, security commitments, service levels, indemnities and limits on liability. When an agreement combines implementation, access and ongoing support, we distinguish the deliverables and responsibilities rather than leave them buried in conflicting order forms and online terms.

Startup Financing and Investor Documents

Before accepting investment, founders need to understand what changes beyond the balance in the company’s bank account. We advise on SAFEs, convertible notes, priced equity rounds and investor rights. Our review considers dilution, consent rights and the ownership record supporting the financing. For founders leaving another employer, prior confidentiality and invention-assignment commitments deserve attention before technology or business information enters the new venture.

Aerospace and Technical Supply Contracts

A supplier may be asked to accept a customer’s quality requirements and obligations drawn from a larger prime contract. We examine those provisions alongside delivery schedules, change orders, inspection procedures and remedies for rejected work. Technical agreements should distinguish the supplier’s existing methods from customer-funded development. Where export-control or other specialist questions arise, we identify the need for a separate assessment rather than assume a commercial contract resolves regulatory compliance.

Research and Life Sciences Transactions

Research collaborations require agreement on more than who funds the work. We help negotiate licenses, sponsored-research documents, collaboration terms and related commercial arrangements. Topics can include background technology, publication review, access to results, ownership of improvements and milestones affecting continued rights. For a company developing licensed research, the financing documents and license obligations should be examined together so that investor expectations do not conflict with commitments to the research institution.

Maritime and Fishing Business Agreements

Seasonal operations can make an unresolved commercial term especially consequential. Our work for maritime and fishing businesses includes equipment leases, processing and vendor agreements, ownership arrangements and other business contracts. We address payment, capacity, delivery and termination obligations with the operating timetable in view. Matters involving vessel-specific rules, crew requirements or federal maritime law may require coordination with admiralty counsel under an appropriate scope.

Acquisitions and Business Sales

The value of a proposed acquisition may depend on a few contracts, a license or a technical team. We organize diligence around those dependencies, then negotiate purchase terms, consents and closing conditions. Washington’s successor-tax rules can make unpaid-tax diligence and applicable holdback or clearance procedures important to the buyer. We work with tax advisers on the relevant exposure rather than assume the purchase agreement alone eliminates it.

Intellectual Property and Technology Rights

Ownership gaps often surface when a company licenses a product, raises capital or prepares for sale. We review founder, employee and contractor contributions; prepare assignments and licenses; and advise on trademark and copyright matters. For software businesses, open-source terms and third-party components also need attention. Confidentiality documents should fit the information being shared and the recipient’s permitted use, rather than rely on a broad label of “proprietary.”

Workforce Documents and Ongoing Counsel

A team change can affect customer relationships, access to systems and ownership of unfinished work. We advise on employment and contractor agreements, confidentiality obligations and separation-related contract questions. Companies can also engage us for recurring commercial and governance matters within an agreed scope. If a disagreement develops, we assess relevant documents, available remedies and the appropriate forum, which may involve negotiation, arbitration or litigation rather than a single automatic court destination.

Seattle and Nearby Business Communities

Our service area includes Downtown, South Lake Union, Pioneer Square, SoDo, Ballard, Fremont and other Seattle neighborhoods. We also assist businesses in nearby communities such as Bellevue, Redmond, Kirkland, Renton, Kent and Everett. Regional coverage does not make those places part of Seattle: local tax, licensing and employment requirements must be evaluated for the actual activity and work location.

Industries We Serve

We work with software and AI ventures, life sciences companies, aerospace and technical suppliers, maritime businesses, professional practices and privately held service companies. The starting point is the business relationship at issue: a customer purchasing access, a partner contributing technology, an investor supplying capital or a buyer taking over operations.

Working with Omni Law

Send the proposed agreement or a short description of the decision, together with any signing deadline. We identify the requested work, possible conflicts and the information needed to define an engagement. Washington-admitted attorney Zachary Windham is part of our team; individual admissions and matter assignments remain distinct.

Our fee structure includes hourly work and defined flat-fee services, with other arrangements depending on scope. We discuss responsibility for related tax, regulatory or specialist work rather than imply every issue is included in one fee.

Frequently Asked Questions

Does a Washington business license cover Seattle’s city license?

Not by itself. Seattle directs businesses to obtain its business license tax certificate through FileLocal or by mail, separately from state licensing. Entity formation is another distinct step. Applicable exemptions and activity-specific permits should be checked for the business and premises; a state filing alone does not establish that local requirements are satisfied.

As of September 2026, enforceability depends on earnings and other statutory conditions. An enacted change broadly voids employment noncompetition covenants beginning June 30, 2027, subject to defined exclusions and transition provisions. Employers should review existing restrictions and required worker notices rather than continue using an unchanged form. Confidentiality and narrowly defined nonsolicitation agreements require their own analysis.

No. JumpStart and the Social Housing Tax have different coverage tests. A business below JumpStart’s total-payroll threshold may still owe the separate Social Housing Tax, which applies at 5% to applicable employee compensation exceeding $1 million. Work location, compensation and current filing rules need separate review for each tax.

Bring the order form, master agreement and any policies or technical documents incorporated by reference. Include the proposed service description, pricing, implementation promises and known customer requirements. Reviewing those materials together helps identify inconsistent commitments, renewal mechanics and rights to data or technology that a signature page alone may not reveal.
