What Does Commercial Litigation in Manhattan Involve?

A disputed payment, loss of access to company records or contested business exit can force an owner to make decisions before the full story is clear. Omni Law P.C.’s Manhattan commercial litigation lawyers help companies pursue and defend claims involving contracts, ownership and business transactions. We connect the evidence to the immediate objective: recover money, protect operations, defend a demand or negotiate a workable separation. A commercial litigation lawyer in Manhattan should assess the available forum, the immediate risks and whether negotiation can protect your business.

Our New York City office is at 1740 Broadway, 15th Floor, in Midtown Manhattan. If papers have been served or a hearing is approaching, call (646) 736-4184 and tell us the delivery date and next deadline. We can identify the documents needed for an initial assessment.

An unpaid invoice does not explain the entire dispute. We examine the agreement, amendments, delivery records and communications to determine whether the disagreement concerns performance, acceptance, authorized changes or termination. That review also considers defenses and counterclaims, rather than treating the amount demanded as the amount recoverable.

After an acquisition, the question may instead concern an earnout, an indemnity demand or a representation made before closing. We trace the disputed obligation through the purchase agreement, disclosure schedules and diligence record. If the transaction is still being negotiated, our NYC mergers and acquisitions counsel handles deal planning separately from contested claims.

Owner Disputes: Records, Control and a Possible Exit

When two owners stop cooperating, the useful first question is what the business needs now. A member may need financial records; a shareholder may challenge an approval; or the company may need to address alleged diversion of customers or funds. We review the entity type, governing documents, voting provisions and available evidence before recommending a remedy.

Our review can distinguish several objectives:

  • Information: obtain the records needed to understand payments, distributions and management decisions.

  • Operations: evaluate disputed authority, alleged misuse of assets and the practical effect of ongoing conduct.

  • Separation: assess a negotiated buyout, valuation process, transfer restrictions or a possible dissolution proceeding.

A New York County Commercial Division decision illustrates why those objectives should not be treated as interchangeable. In a dispute between two 50% members of an LLC owning Brooklyn property, the court denied dissolution without prejudice but required access to books and records; the allegations did not sufficiently establish the statutory grounds for dissolution. Matter of Ruham, 2024 NY Slip Op 31863(U) (N.Y. Sup. Ct., New York Cty. 2024).

We use that distinction to frame the intake: what information is missing, what conduct needs attention and what an exit would require. The recommendation should follow the documents and circumstances, not an assumption that equal ownership automatically supplies the desired remedy.

Which Manhattan Business Disputes Fit the Commercial Division?

The New York County Commercial Division is part of Supreme Court, with its listed location at 60 Centre Street. The assigned Part’s directions should be checked for appearances and case-specific procedures rather than assuming every matter follows an identical schedule. New York County Commercial Division.

New York County’s generally applicable Commercial Division threshold is $500,000, excluding claimed punitive damages, interest, costs, disbursements and counsel fees. The case must also fit the rule’s eligible categories; rent-only commercial real-estate disputes and suits to collect professional fees are among the exclusions. Rule 202.70(a)–(c).

Specified shareholder derivative actions, commercial class actions and business-entity dissolution proceedings are exempt from the monetary threshold. For qualifying equitable or declaratory claims, the rule measures the value of the object of the action rather than treating every request for nonmonetary relief as exempt. Rule 202.70(b).

We examine forum clauses and assignment requirements alongside the claim itself. For a broader overview of the firm’s dispute work, see our New York City business litigation practice; this Manhattan page focuses on local court and resolution considerations.

New York County Mediation Without Losing Track of the Case

Commercial Division cases pending in New York County Supreme Court are presumptively eligible for mediation. Entry into the program can occur through an order of reference, a so-ordered stipulation, opt-in or a designated mediation conference. Commercial Mediation Program rules.

The mediator helps the parties explore agreement rather than deciding the dispute. Settlement remains voluntary, and participation in ADR does not stay court proceedings unless the court orders otherwise. Commercial Mediation Program rules.

We prepare for mediation by identifying the decision-makers, the information needed to evaluate a proposal and the terms that would make settlement workable. Payment timing, releases, ownership transfers and continuing obligations deserve attention alongside the headline settlement amount. Preparation also accounts for deadlines that continue while discussions take place.

Protect Evidence and Identify Urgent Business Harm

Suppose a Manhattan consulting firm discovers that a departing executive retained client files while soliciting accounts. This hypothetical calls for a focused review of agreements, access logs, communications and the conduct occurring now. It does not justify assuming that every restriction is enforceable or that an emergency order will issue.

CPLR 6301 permits temporary restraining relief pending a preliminary-injunction hearing where immediate and irreparable injury, loss or damage appears likely before the hearing can occur. An application still requires a fact-specific legal and evidentiary assessment; urgency alone is not enough. CPLR 6301.

For the first discussion, assemble the operative agreements, demand or court papers, a dated chronology and relevant transaction records. Flag email-deletion settings, expiring access and documents controlled by departing personnel. Once the immediate dispute is addressed, recurring drafting weaknesses can be reviewed with our business contract counsel.

Frequently Asked Questions

What is the $500,000 Commercial Division threshold, and what is excluded from it?

New York County’s Commercial Division generally requires at least $500,000 in controversy, excluding claimed punitive damages, interest, costs, disbursements and counsel fees. The case must also meet the rule’s subject-matter requirements; specified derivative, class and dissolution proceedings are exempt from the monetary threshold. Rule 202.70(a)–(c).

Yes. The $500,000 figure concerns ordinary assignment to New York County’s Commercial Division, not a minimum amount for every business lawsuit. The appropriate court or procedure depends on the claim, parties, agreement and applicable requirements. Commercial Division assignment rule.

Potentially. Under CPLR 6301, a court may grant a temporary restraining order pending a preliminary-injunction hearing when immediate and irreparable injury, loss or damage appears likely unless the defendant is restrained before the hearing can occur. The requested relief must be supported by the facts and applicable procedural requirements; it is not automatic merely because a business describes the situation as urgent. CPLR 6301.

No, not automatically. The New York County program rules state that ADR participation does not stay court proceedings except by court order, so response and litigation deadlines need separate attention. Commercial Mediation Program rules.

The court lists its Commercial Division at 60 Centre Street in Manhattan. Check the assigned judge’s Part instructions and the notice for the particular appearance; the general court address does not establish where or how every conference will occur. (New York County Commercial Division)

No. In a New York County proceeding involving an LLC that owned Brooklyn property, the court denied dissolution without prejudice but required books-and-records access. That example distinguishes information rights from dissolution grounds; it does not decide another company’s dispute. Matter of Ruham, 2024 NY Slip Op 31863(U) (N.Y. Sup. Ct., New York Cty. 2024).

Start with a short, non-confidential description and the next deadline. We can then identify the relevant records and an appropriate way to provide them after the initial conflict and intake review.
