The San Jose Legal and Business Landscape

San Jose companies operate inside California’s distinctive employment and corporate framework. The cornerstone is California Business and Professions Code Section 16600, which voids almost any contract restraining a person from engaging in a lawful profession. AB 1076 (effective January 1, 2024) codified the broad judicial reading of Section 16600 from Edwards v. Arthur Andersen, added Section 16600.1, and required notice to current and certain former California employees by February 14, 2024 that prior noncompetes are void; SB 699 extends the prohibition to out-of-state noncompetes for employees later working in California. AB 692 (effective January 1, 2026) bans most “stay-or-pay” provisions — sign-on bonus repayment, training clawbacks, relocation reimbursements — and prohibits any quit-fee on separation. Other 2026 obligations include SB 294’s annual “Know Your Rights” notice, SB 642’s expanded pay-equity disclosure for employers with 15+ employees, and AB 1340’s gig-driver bargaining rights.

San Jose adds its own local layer. The San Jose minimum wage is $18.45 per hour effective January 1, 2026, indexed to regional CPI and exceeding California’s $16.90 statewide rate. Every business operating in city limits needs a San Jose Business Tax Certificate; under Measure G, that is a $195 base tax with progressive per-employee increments. Combined sales tax is 9.375%. Delaware-incorporated startups operating in California also owe California’s $800 minimum franchise tax plus the Delaware annual report.
