The San Francisco Legal and Business Landscape
San Francisco remains one of the most capital-intensive venture markets: SF startups raised $169.34 billion in early 2026, surpassing all of 2025 in the opening months — driven by AI companies that captured roughly half of all global venture capital. California’s statutory framework applies in full. Every LLC, LP, and LLP owes the FTB an $800 minimum franchise tax. AB 1076 (effective January 1, 2024) makes covered noncompete clauses unlawful and void under Business and Professions Code Section 16600; SB 699 allows private actions for injunctive relief or actual damages plus attorney’s fees and costs. Effective January 1, 2026, AB 692 voids most “stay-or-pay” provisions — training-cost clawbacks, sign-on repayments, relocation refunds — with damages of actual damages or $5,000 per worker, whichever is greater, plus injunctive relief and reasonable attorney’s fees and costs.
San Francisco layers its own rules on top of state law. The SF Minimum Wage Ordinance sets $19.18/hour through June 2026, rising to $19.61/hour July 1, 2026 — well above California’s $16.90 floor. The Paid Sick Leave Ordinance requires 1 hour per 30 worked, capped at 72 hours for employers with 10 or more employees. The Health Care Security Ordinance (Healthy SF) requires minimum healthcare expenditures for SF employees — $4.11/hour for large employers (100+ employees) and $2.74/hour for medium employers (20–99 employees) effective January 1, 2026, up from $3.85/hour and $2.56/hour in 2025. The Fair Chance Ordinance restricts criminal-history inquiry until after a conditional offer. Proposition M, approved November 2024, overhauled the Gross Receipts Tax effective January 1, 2025 — consolidating 14 categories into 7, shifting apportionment to 75% sales / 25% payroll, and lowering the Homelessness Gross Receipts Tax threshold from $50M to $25M in SF receipts. It depends on the product. Receiving money for transmission to a third party generally triggers state money-transmitter licensing — in California, administered by the DFPI under the Money Transmission Act — plus FinCEN MSB registration with BSA/AML obligations. Many fintechs avoid direct state-by-state licensing by operating through a sponsor bank under a banking-as-a-service program agreement, though those arrangements carry their own diligence and termination-risk profile. The right answer depends on the flow of funds, custody structure, and product roadmap.
Who owns AI training data and AI model outputs?
Training data and outputs are governed by contract among model provider, integrator, and customer. Most enterprise AI contracts assign the customer ownership of inputs and outputs, with carve-outs allowing the provider to use de-identified or aggregated data for service improvement. Training-data risk — whether models were trained on copyrighted, scraped, or licensed material — is increasingly addressed through provider IP indemnification and training-data representations. The EU AI Act adds GPAI obligations on companies whose models or services reach EU users.
What is the San Francisco minimum wage in 2026?
SF’s minimum wage is $19.18/hour through June 30, 2026, then $19.61/hour effective July 1, 2026, adjusted annually by the SF-Oakland-San Jose CPI. California’s statewide rate is $16.90/hour, so SF’s local rate controls for any work within City limits.
