OMNI LAW
Phoenix Business & Corporate Lawyers
A supply contract, a new investor or a change in ownership can reshape a Phoenix business long before a dispute arises. Omni Law P.C. advises owners and management teams on the documents and decisions behind those changes, from establishing a company to negotiating commercial relationships, financing growth and transferring a business. We focus on how each agreement fits the way the company operates.
Phoenix brings together manufacturing, healthcare, construction and technology businesses with different legal priorities. For suppliers working with the TSMC Arizona campus, contract priorities can include delivery, quality and allocation of risk. Practice acquisitions, development projects and founder-led companies raise different questions about control, payment and liability. Our Arizona business law practice helps clients address those questions through remote collaboration and in-person arrangements when appropriate.

Phoenix’s Business and Tax Environment
A Phoenix address does not resolve every licensing or tax question. The city does not issue a general business license, but particular activities can require licenses or permits. Entity formation, authorization to conduct a regulated activity and tax registration are separate steps.
Phoenix’s Transaction Privilege Tax applies to specified business activities, with classifications and rates that require attention when pricing work or negotiating contracts. Licensing obligations depend on the activity and applicable exceptions, including certain marketplace-only sellers. A business operating across the Valley should distinguish Phoenix city requirements from those of neighboring municipalities.
For owners, these distinctions matter before signing a lease, hiring staff or committing to a customer’s pricing terms. We help identify the legal documents and approvals involved and coordinate tax questions with the business’s accountant or tax adviser. The aim is to address the operating model, not simply obtain formation documents.
Legal Services for Phoenix Businesses
Entity Formation and Ownership Agreements
We help establish LLCs and corporations and prepare the agreements that govern ownership, voting, distributions and management. For a multi-owner Phoenix business, the discussion should also cover future capital contributions, departures, deadlock and transfers. We coordinate the entity choice with funding plans and tax advice, then assess applicable registration and publication requirements. A written ownership agreement gives the founders a shared reference when circumstances change.
Semiconductor Supplier and Manufacturing Contracts
A supplier’s obligations can extend beyond delivering equipment or completing an installation. We review master agreements and statements of work for acceptance standards, warranty exposure, payment milestones, change orders and responsibility for delays. For businesses serving the North Phoenix manufacturing corridor, we also address confidential specifications, customer-owned materials and subcontractor obligations. Export-control or other specialized regulatory questions require a defined review rather than an assumption that contract language alone resolves compliance.
Startup Counsel and Venture Financing
For founders preparing to raise capital, we address equity allocations, vesting, intellectual property assignments and the rights an investor is asking to receive. Our financing work includes convertible instruments and equity investment agreements, with attention to dilution, decision-making and future rounds. We also help evaluate whether a proposed entity conversion fits the financing plan, rather than treating a Delaware corporation as the starting point for every Arizona startup.
Healthcare and Physician Group Transactions
A practice acquisition involves more than agreeing on the purchase price. We advise on ownership structure, management arrangements, vendor contracts and the allocation of responsibilities before and after closing. For Phoenix physician groups and healthcare businesses, the review can include professional-entity requirements and applicable federal and state restrictions. Licensing, billing and referral arrangements need their own analysis; a standard business purchase agreement may leave those questions unanswered.
Real Estate, Construction and Development Agreements
We negotiate commercial leases, construction contracts, subcontracts and development-related business agreements. Payment sequencing, change approvals, insurance, indemnity and responsibility for delays deserve attention before work starts. Arizona’s prompt-payment provisions and mechanics’ lien rules can affect the parties’ rights. For projects involving several trades or locations, we help align the contract documents with the project structure and coordinate tax questions with the appropriate adviser.
Mergers, Acquisitions and Business Sales
We advise buyers and sellers from the letter of intent through diligence, purchase documentation and closing. For an owner selling a Valley service business, priorities may include customer-contract transfers, employee continuity, deferred payments and the seller’s post-closing role. We also coordinate applicable Arizona tax-clearance questions with tax advisers. Sale-related restrictive covenants require their own legal analysis; their enforceability should not be assumed when negotiating the price or transition.
Intellectual Property and Technology Agreements
We assist with trademark clearance and registration, ownership of software and creative work, trade-secret protections and commercial licensing. A Phoenix technology vendor may need its customer contract, contractor assignments and data-handling obligations reviewed together. We address who owns existing materials, who receives rights to new developments, what each party may reuse and how access ends. Those provisions should reflect the actual product and delivery model.
Employment Agreements and Workforce Policies
We prepare executive and employee agreements, confidentiality terms, contractor documents and separation arrangements, alongside review of applicable workforce requirements. Arizona restrictive covenants need careful drafting: courts may remove grammatically severable terms but do not simply rewrite an overbroad restriction (Valley Medical Specialists v. Farber). For a growing Phoenix team, we also help align contractual commitments with paid-sick-time policies and the practical administration of workplace obligations.
Outside General Counsel and Business Disputes
Recurring legal support can help a business address customer negotiations, governance decisions and personnel questions before they become urgent. We agree on the scope of ongoing counsel and identify work that requires separate authorization. If a commercial relationship breaks down, we evaluate the documents, evidence, available remedies and business costs of negotiation, arbitration or litigation. Court assignment and procedural requirements are assessed separately from a contract’s choice of venue.

Neighborhoods and Areas We Serve
We serve companies across Phoenix, including Downtown, the Warehouse District, Midtown, the Camelback Corridor, Deer Valley, Desert Ridge, Ahwatukee, Laveen and Maryvale. Our work also extends to businesses in Scottsdale, Tempe, Mesa, Chandler, Glendale and other Valley communities. These are service areas, not office locations. The municipality where a business operates or an employee works remains relevant when assessing local requirements.
Industries We Serve
Our services are available to semiconductor suppliers, manufacturers, healthcare practices, technology ventures, construction businesses, real estate operators, logistics providers and professional-service firms. We tailor the engagement to the business’s contracts, ownership and regulatory context. An equipment supplier, a physician practice and a software company should not receive identical documents simply because all three operate in Phoenix.
Why Choose Omni Law P.C.
We connect individual transactions with the company’s broader legal needs, so ownership terms, customer commitments and financing decisions are considered together. Our attorney credentials identify individual admissions, including Arizona. Staffing for a multi-state matter depends on the jurisdictions and work involved; additional counsel can be coordinated when appropriate.
Before engagement, we discuss responsibilities, timing and fee arrangements. Depending on the work, pricing may involve a flat fee, hourly billing or an ongoing retainer. We distinguish the agreed scope from additional matters rather than suggesting every business question is covered by one fixed price.
Frequently Asked Questions
What is the Phoenix TPT rate for businesses?
The city rate is 2.8% for most business classifications, but the applicable rate depends on the activity. Phoenix’s 2026 combined tax-rate chart lists a standard combined retail rate of 9.1%, subject to tiers and exemptions. Do not apply that rate automatically to every transaction or to a business operating elsewhere in the Valley.
Does a Phoenix LLC have to publish formation notice in a newspaper?
It depends on the statutory agent’s street address, not merely the company’s Phoenix location. When that address is in Maricopa or Pima County, Arizona Corporation Commission database posting replaces newspaper publication. Otherwise, the LLC generally must arrange three consecutive publications within 60 days after filing under Arizona’s LLC publication statute. Corporations have different statutory criteria.
Does Arizona require paid sick leave?
Yes. Covered employees accrue at least one hour for every 30 hours worked. Annual accrual and use are generally capped at 40 hours for employers with 15 or more employees and 24 hours for smaller employers, unless a more generous policy applies. Coverage and administration should be checked against Arizona’s earned paid sick time law.
What is the Maricopa County Commercial Court?
It is a specialty calendar within the Superior Court’s Civil Department for eligible commercial cases under Rule 8.1. Eligibility depends on the claims, relief sought and applicable exclusions, not simply whether both parties are businesses. Review the court’s program requirements separately from any forum-selection clause; naming Maricopa County does not itself establish assignment.
